1. Parties and Scope

1. Who we are. JoyFlick is a platform provided by Elympics Inc., Elympics, Inc, with its registered seat in Kingstown, Saint Vincent and the Grenadines ("Elympics", "we", "us", "our"). JoyFlick is a product of Elympics.
2. What these Terms cover. These Terms of Service (the "Terms") govern your access to and use of the JoyFlick website, mobile applications, and related services (collectively, the "Platform"), including any games, contests, tournaments, matchmaking, promotions, and withdrawal functionality.
3. Additional terms. Certain features may be governed by additional terms, rules, or policies (the "Additional Terms"), including game rules, tournament rules, promotion rules, a Responsible Play policy, and third-party provider terms (Section 12). If Additional Terms conflict with these Terms, the Additional Terms will govern for that feature.
4. Acceptance. You must read this Terms carefully as it governs your use of the Platform. By accessing or using the Platform, you signify that you have read, understand, and agree to be bound by this Terms in its entirety. If you do not agree, you are not authorized to access or use Platform and should not use our Platform. To access or use any of Platform, you must be able to form a legally binding contract with us. Accordingly, you represent that you are at least the age of majority in your jurisdiction and have the full right, power, and authority to enter into and comply with the terms and conditions of this Terms on behalf of yourself and any company or legal entity for which you may access or use the Interface. If you are entering into this Terms on behalf of an entity, you represent to us that you have the legal authority to bind such entity. You further represent that you are not (a) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties or (b) a citizen, resident, or organized in a jurisdiction where e-gaming is forbidden. Finally, you represent that your access and use of Platform will fully comply with all applicable laws and regulations, and that you will not access or use Platform to conduct, promote, or otherwise facilitate any illegal activity.

2. Eligibility; Account; Location Restrictions

1. Age and capacity. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have legal capacity to enter into these Terms.
2. Permitted jurisdictions; compliance. You may only participate in money-entry contests (defined below) where such participation is legal for you and where we make such functionality available. You are solely responsible for complying with all laws applicable to you, including local restrictions on skill competitions and any restrictions relating to digital assets.
3. One account; accurate information. You may maintain only one account. You agree to provide accurate information and keep it current. We may suspend or terminate accounts associated with duplicate accounts, misrepresentations, or circumvention.
4. Security. You are responsible for maintaining the confidentiality of your login credentials and your devices, and for all activity under your account.
5. Verification. We may verify eligibility (including age and location) and may restrict access to certain features until verification is completed. We may use third-party providers for verification.

3. Platform Overview; Skill-Based Contests

1. Skill-based competitions. JoyFlick offers skill-based gameplay experiences, including asynchronous player-versus-player formats. Outcomes are determined by player skill and performance, as measured by the Platform's scoring rules for the applicable game and contest.
2. No guarantee of matching. For asynchronous formats, you acknowledge that opponent selection and timing depend on demand and availability.
3. Contest types (illustrative). The Platform may offer, among others:
   • Practice Mode (Free): no entry fee, no winnings.
   • Money Async PvP: entry using a supported digital value balance; winner receives the stated prize; the Platform retains a stated fee.
   • Diamonds Async PvP: entry using Diamonds (no monetary value).
   • Diamonds-to-Money contests: entry using Diamonds, with potential to win value balance (subject to these Terms and any Additional Terms).
4. Game rules. Each contest is governed by specific rules presented in the UI (the "Rules"). By entering a contest you agree to the Rules.
5. Fair play / same level condition. For certain contests, the Platform may generate identical or comparable levels for participants. You acknowledge that perfect equivalence can be affected by device performance, latency, and other technical factors. We may invalidate results or adjust outcomes where we reasonably determine fairness was compromised.

4. Non-Custodial Design; Wallet Creation; Digital Assets

1. Non-custodial architecture. The Platform is designed so that a cryptographic wallet is created for you via Privy (or another provider we designate). You control your wallet through the authentication method(s) associated with your account. We do not act as a custodian of your digital assets and do not have unilateral access to transfer your assets, subject to the important caveats in Sections 4.4 and 12 (third-party services and platform controls).
2. Supported asset; representation. The Platform may represent balances in "USD" or "dollars" as a user-friendly display of a supported digital asset (currently intended to be USDC on Base), plus any promotional credits or non-withdrawable amounts described in Section 6. "USD" display values are not bank deposits and are not legal tender.
3. Network and token risk. You acknowledge the risks of blockchain networks and digital assets, including network congestion, transaction delays, protocol changes, smart contract risk, token de-pegging, loss of private key access, and irreversible transactions.
4. Platform controls. While we do not custody your wallet, the Platform may use smart contracts, session keys, permissions, or other technical controls to enable gameplay, entry fees, prizes, and refunds. You authorize the Platform to initiate the on-chain actions necessary to operate the features you choose to use, consistent with the UI disclosures and these Terms.

5. Deposits (Top-Ups)

1. Top-ups. You may add value by transferring supported digital assets to your wallet (a "Top-Up"). Top-Ups are final once confirmed on-chain.
2. Display equivalence. If the Platform offers a Top-Up flow where $X corresponds to X units of a supported stablecoin, the equivalence is an informational display only and may be affected by network fees, provider fees, and token mechanics.
3. Fees. You are responsible for network fees (gas) and third-party provider fees unless we explicitly state otherwise.
4. No chargebacks. Blockchain transfers are not chargebackable. If you initiate a Top-Up from an exchange or third party, your relationship with that third party governs.

6. Promotions; Bonus Dollars; Diamonds

1. Promotions generally. We may offer time-limited promotions, including bonus amounts added with a Top-Up (e.g., "we match your Top-Up"). Promotion terms may vary and will be disclosed in the UI or Additional Terms.
2. Bonus dollars (non-withdrawable). Promotional "bonus dollars" or similar credits:
   • are not withdrawable, have no cash redemption value, and are not transferable outside the Platform;
   • may be used only as allowed by the Rules (e.g., contest entry);
   • may be forfeited upon withdrawal, account suspension/termination, or promotion expiry, as stated in the UI or Additional Terms; and
   • may be removed or adjusted if we reasonably determine abuse, error, fraud, or violation of these Terms.
3. Materialization concept. You acknowledge that bonus dollars may be applied internally to enable gameplay and may be "realized" only as part of contest settlement mechanics (e.g., when used and lost/converted through contest resolution). The precise mechanics may differ by contest type and will be defined in the UI/Rules.
4. Diamonds (internal currency). "Diamonds" are an internal, engagement-focused unit:
   • not a digital asset, not on-chain, not redeemable for money, and have no monetary value;
   • cannot be withdrawn or transferred outside the Platform;
   • may be earned through activities (e.g., daily logins, live ops);
   • may be modified, reset, removed, or expired at our discretion, subject to applicable law.

7. Contest Entry, Fees, Payouts, and Matching

1. Entry and fees. The Platform will disclose (i) entry amount, (ii) prize pool/prize amount, and (iii) Platform fee (e.g., $0.60 entry each; $1.00 prize; $0.20 fee). You authorize us to apply the necessary settlement actions.
2. Outcome determination. Results are determined based on the scoring system and Rules. We may invalidate suspicious results and adjust outcomes as described in Sections 9-10.
3. Matching timeout and refunds. If a money-entry async PvP match is not successfully paired within 24 hours, we will cancel the match and refund the applicable entry amount to the extent technically possible using the Platform's normal settlement path, subject to network conditions and fraud/abuse checks.
4. Ties. Tie handling will be disclosed in the Rules (e.g., split prize, rematch, or refund).

8. Withdrawals

1. Withdrawal methods. Subject to eligibility and compliance checks, you may request withdrawals by:
   • Crypto withdrawal: transfer supported digital assets to a wallet address on the supported network(s) (e.g., Base).
   • Virtual card withdrawal: via a third-party partner that provides a virtual credit card and related services (the "Card Partner"). Card Partner terms will apply (Section 12).
2. Withdrawal fees and minimums. We may charge a withdrawal fee and set minimum withdrawal thresholds, disclosed before you confirm the withdrawal.
3. Compliance and verification. We may require identity verification (KYC), sanctions screening, fraud checks, or additional information before processing a withdrawal. We may delay, limit, or refuse withdrawals where required by law or where we reasonably suspect fraud, abuse, or violations.
4. Bonuses and Diamonds excluded. Bonus dollars and Diamonds are not withdrawable.
5. User responsibility. You are responsible for providing correct withdrawal details (wallet address, network, or Card Partner details). Transactions may be irreversible.
6. Taxes. You are solely responsible for determining and paying any taxes arising from your use of the Platform, winnings, or withdrawals.

9. Prohibited Conduct; Fair Play; Anti-Cheating

1. Prohibited conduct. You may not:
   • cheat, exploit bugs, or use unauthorized tools, automation, bots, or modified clients;
   • manipulate matchmaking or outcomes, including collusion or intentional losing to transfer value;
   • use VPNs or location spoofing to access restricted features;
   • create multiple accounts or sell/transfer accounts;
   • engage in fraudulent transactions or abuse promotions;
   • reverse engineer, scrape, or attempt to access source code or security mechanisms.
2. Investigations and enforcement. We may investigate suspected violations and may suspend, restrict, or terminate accounts, invalidate results, confiscate non-withdrawable credits, and/or withhold or reverse contest settlements to the extent permitted by law and technically feasible.

10. Suspensions; Termination; Account Closure

1. Our rights. We may suspend or terminate your access at any time where we reasonably determine you violated these Terms, pose risk to the Platform, or where required to comply with law.
2. Effect of termination. Upon termination, your access ends. Treatment of remaining balances will depend on the reason for termination, applicable law, and technical constraints. Non-withdrawable credits (bonus dollars and Diamonds) may be forfeited.
3. Account deletion. You may request deletion of your Platform account, subject to legal retention requirements and pending investigations/transactions. Deleting the Platform account does not necessarily delete your non-custodial wallet.

11. Intellectual Property; User Content

1. Our IP. The Platform, trademarks, software, and content are owned by Elympics or its licensors. You receive a limited, revocable, non-transferable license to use the Platform for personal, non-commercial purposes.
2. User content. If you submit content (profiles, images, feedback), you grant us a worldwide, royalty-free license to use it to operate and improve the Platform, subject to the Privacy Policy and applicable law.
3. Feedback. If you provide feedback, you grant us the right to use it without restriction or compensation.

12. Third-Party Services (Privy, Blockchain Networks, Card Partner, Games)

1. Third-party services. The Platform interoperates with third-party services (e.g., Privy, Base network infrastructure, analytics providers, the Card Partner, and third-party games). We are not responsible for third-party services and do not control their terms, availability, or performance.
2. Third-party terms. Your use of third-party services is subject to their terms and policies. If third-party terms conflict with these Terms, the third-party terms govern your relationship with that third party.
3. Games and developers. Games may be provided by us or third-party developers. We do not guarantee uninterrupted availability of any game and may add/remove games at any time.

13. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and share personal data.

14. Disclaimers

1. As-is. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties to the maximum extent permitted by law.
2. No guarantee of earnings. We do not guarantee that you will win any contest, that any particular opponent will be matched, or that any balance will retain purchasing power.
3. Technical issues. Device performance, connectivity, latency, OS differences, and third-party outages may affect gameplay and outcomes.

15. Limitation of Liability

To the maximum extent permitted by law, Elympics will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities.

16. Indemnification

the Platform, violation of these Terms, violation of law, or infringement of third-party rights.

17. Dispute Resolution; Governing Law; Forum

1. Governing law. These Terms are governed by the laws of St. Vincent and the Grenadines, excluding conflict of law rules.
2. Forum. The courts of St. Vincent and the Grenadines will have exclusive jurisdiction, except where mandatory consumer protection laws require otherwise.
3. Consumer rights. If you are a consumer, you may have mandatory rights under the laws of your country of residence that cannot be waived.

18. Changes to Terms

We may update these Terms from time to time. We will post the updated version and update the "Last Updated" date. Material changes will be communicated as required by applicable law. Continued use of the Platform after the effective date constitutes acceptance.

19. Miscellaneous

1. Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
2. Severability. If any provision is invalid, the remainder remains in effect.
3. Entire agreement. These Terms and any Additional Terms constitute the entire agreement regarding the Platform.
